Emlen Fischer joined Centerview Partners in 2010 and is a founding member of the firm’s Technology practice based in Palo Alto. Mr. Fischer has advised on over $250 billion in transactions over his 15+ year career, including some of the technology industry’s largest and most transformational transactions.
His experience includes buy-side and sell-side mergers and acquisitions, capital raises, spin-offs, divestitures, shareholder activism and anti-raid defense, as well as strategic advisory assignments. Select assignments include advising Qualcomm on a variety of matters including its successful defense against Broadcom’s hostile takeover, its $47 billion acquisition of NXP (withdrawn), its sale of Qualcomm Life to Francisco Partners, as well as serving as the advisor to a special committee evaluating Qualcomm’s corporate and financial structure following Jana’s proposal to separate its semiconductor and licensing business; Seagate and Bain on the Bain Capital-led consortium’s acquisition of Kioxia (formerly Toshiba Memory Corporation); Xperi’s $2.2 billion merger with TiVo as well as the subsequent separation of its IP Licensing business (Adeia) and Product business (Xperi), creating two stand-alone public companies; Applica on its sale to Snowflake, World Programming on its sale to Altair Engineering; Factorial Energy on its $200 million Series D and strategic partnerships with Mercedes-Benz and Stellantis as well as its Series C-2 and strategic partnership with Hyundai; Dedrone with respects to its strategic partnerships and investments from General Dynamics and Axon; Mikro Systems on its sale to United Technologies; Panasonic on its acquisition of ITC Global; Cisco Systems on its $2.7 billion acquisition of Sourcefire and its $5.0 billion acquisition of NDS; MICROS on its $5.3 billion sale to Oracle; Cognizant on its $2.7 billion acquisition of TriZetto; Xerox in connection with its spin-off of Conduent and its $8.3bn acquisition of ACS; Alcatel-Lucent in connection with capital structure and strategic alternatives, including raising a €2.0bn multi-tranche, senior secured credit facility; Motorola in connection with the $10.0 billion spinoff of its Mobility & Connected Home businesses; and Embarq on its $11.6 sale to CenturyTel.
Prior to joining the firm, Mr. Fischer was a member of the Mergers & Acquisitions group at J.P. Morgan. Mr. Fischer holds an undergraduate degree Mathematical Economics, with honors, from Haverford College and an M.B.A. from the Stern School of Business at NYU.
